論文提要內容：
本研究以制度理論之規範、管制與認知三個系統解釋企業在面對環境變化時，制度所扮演的角色與及其對機會開發之影響。本研究並且發展出制度與機會開發的觀念性架構，說明規範、管制與認知此三個制度系統與機會開發之間的關係。為分析此一議題，本研究以玉晶光電此一具有獨特性的公司為單一個案，分析其制度環境如何影響機會開發，亦即該企業如何從其前身和欣光學在經營績效的逆勢中轉型成功。最後，本研究並具體提出對於制度理論與創業理論之理論貢獻，以及相關實務建議。

This study is based on the normative, the regulative and the cognitive in the institutional systems. The three systems to explain when an enterprise facing the environmental change, this system acting role as well as whose the influence of opportunity development. This study also develops a framework of the institution and the opportunity development to show, the normative, the regulative and the cognitive among three institutional system and the opportunity development. This study uses an unique case of Genius Electronic Opticrl Co., Ltd, to analyze this issue. To analyze its institutional environment how to affect the opportunity development, that is these how from its predecessor, Hohsin Opticrl Co., Ltd, counter potential relay success in business performance. Finally, this study also specifically proposed that a contribution to the theory regarding the institutional theory and the entrepreneurial theory, as well as is connected the suggestion in practices.
